General Information of a Cyprus Company
Legislation: The Cyprus Company Law, Chapter 113, based on the English Companies Act of 1948.Type of Company: Limited Liability Company (LTD). The constitution of a registered company consists of two documents, the Memorandum of Association and the Articles of Association.
Approval of Cyprus company names: Names may be expressed in Greek or any language using the Latin alphabet. All company names must end in the words: Limited or Ltd.
Language of corporate documentation in a Cyprus company: Greek and English.
Shareholders & Directors: The minimum number of shareholders and directors is one. They may be natural persons or bodies corporate; Anonymity is retained by nominee shareholders and directors (Usually entities or persons from our office may act as nominee shareholders and directors).
Company secretary: All Cypriot companies must appoint a company secretary, who may be a natural person or a corporate body.
Registered Address: All companies incorporated in Cyprus must have a registered office in Cyprus.
Beneficial Owners: Can retain anonymity from the public records of the Registrar of Companies through the use of Nominee Shareholders Nominee Directors and nominee secretary.
Disclosure of Beneficial Owner: No, protected by secrecy laws.
Double tax treaties currently 34 covering 40 countries.
Financial Statement requirements: Audited financial statements have to be submitted to the Cyprus Taxation Authority of Cyprus annually.
